Terms of service
The agreement between you and Vedagni Engineers Pvt. Ltd. for the use of OnlyCRM. Plain English, and it describes what the software actually does rather than what software of this kind usually claims.
The short version
- You get 15 days free. No card is asked for to start.
- After that you pay per workspace, per term, against an invoice. There is no auto-renewal and no stored card — nothing is ever charged without somebody pressing a button.
- To stop, stop paying. There is no notice period and no cancellation fee.
- Your data is yours. You can export it, and we do not sell it or use it for anything but running the service for you.
- We make no uptime promise. We would rather say that than write a number we cannot stand behind.
This summary is here to be read. Where it and the detail below differ, the detail governs — but we have tried hard to make sure they do not differ.
1. Who this is between
These terms are an agreement between Vedagni Engineers Pvt. Ltd. ("we", "us") and the business or person opening an account ("you", "your organisation"). By creating a workspace, signing in, or paying an invoice, you accept them.
If you accept on behalf of a company, you confirm you are entitled to bind it. Where your organisation has signed a separate written agreement with us, that agreement governs anything these terms contradict.
2. What the service is
OnlyCRM is hosted software for capturing enquiries, following them up, running them through to delivery, and tracking the money attached. It is provided as a service over the internet and through an Android application. You are licensed to use it for the term you have paid for; you are not buying the software and no copy of it is transferred to you.
We may add, change or withdraw features. Where a change removes something you rely on, we will give reasonable notice; where it is an improvement or a fix, we will not.
3. Your account
- You are responsible for everything done under your workspace's accounts, including by your staff.
- Sign-in details are not to be shared. Each person who uses the product needs their own account — that is also how the audit trail stays meaningful.
- Your plan includes a number of seats. When they are all in use, the product refuses to add another person until somebody is deactivated or the plan changes. We never add an overage charge — there is no such mechanism, so a surprise bill for extra users is not something that can happen.
- Tell us promptly if you believe an account has been compromised.
4. The free trial
A new workspace gets 15 days of full use. We do not ask for a card to start one, so a trial cannot roll silently into a charge — the first payment is an invoice you choose to pay.
At the end of the trial the workspace follows the same path as any other unpaid term, set out in section 6. Nothing is deleted when a trial ends.
5. Fees, invoices and tax
- Priced per workspace, per term — not per seat. Seats are a ceiling included in the plan, never a multiplier.
- Prices are shown in INR and on our pricing page. The price that applies is the one on your invoice.
- An invoice is raised ahead of your renewal date and is payable within 15 days of issue.
- GST at 18% is added where it applies, and is shown separately on the invoice.
- Payment is by the online gateway on the invoice, or by bank transfer to the details printed on it.
There is no auto-renewal, no stored card and no mandate. We cannot charge you without you completing a payment yourself, each time.
That is a deliberate design choice rather than a missing feature, and it cuts both ways: nothing is taken by surprise, and equally nothing renews unless somebody acts. Renewal reminders are emailed to the workspace's owners and billing contact at 14, 7, 3 and 1 days before expiry.
Paying extends your term from your existing expiry date, or from the day you pay if the term has already lapsed — whichever is later. So paying early costs you nothing, and paying late does not buy back the days you were lapsed.
6. What happens if you do not pay
Nothing is deleted, and nothing happens without warning. The workspace moves through these states, and moves straight back to full access the moment the invoice is settled.
| State | When | What you can do |
|---|---|---|
| Active | Term running | Everything. |
| Expiring | Final 14 days of the term | Everything, with a banner and emailed reminders. Nothing is withheld. |
| Read-only | For 7 days after expiry, unless your plan or agreement says otherwise | Read everything, and call your customers. You cannot add or change records. |
| Locked | After the read-only period | Sign-in to the workspace is refused. Your invoices, the payment page and the support desk stay open, so you can always pay and always reach us. |
Your enquiries keep arriving throughout. Lead capture from web forms, Meta lead ads, WhatsApp and Telegram is never switched off by a billing state — the enquiries queue up and are waiting for you when the invoice clears.
We think a CRM that drops a customer's enquiries because an invoice is late is punishing the wrong person, so the product is built not to.
7. Changing plan
An owner can change plan from Billing → Plan at any time. A change takes effect from the next renewal unless the term has already lapsed or is within 14 days of doing so, in which case a new invoice is raised immediately and any unpaid renewal invoice is voided and replaced.
A downgrade is refused while the workspace is using more seats than the smaller plan allows; deactivate the people who have left first. Changing plan does not change your current expiry date, and there is no credit or refund for the unused part of a term — see the refund and cancellation policy.
8. Cancelling
To cancel, stop paying. There is no notice period, no cancellation fee, and no button to press.
We would rather tell you that than have you hunt for a cancel button that does not exist. Your term runs to the date you have paid for, then the workspace follows section 6. Nothing is destroyed at that point — see section 9 for getting your data out, and the privacy policy for how long things are kept afterwards.
Write to us if you would like the workspace closed and its contents erased rather than left dormant, and we will do it.
9. Your data, and who owns it
The enquiries, contacts, cases, notes and documents in your workspace are yours. We claim no ownership of them. We hold and process them on your instructions in order to provide the service, and for nothing else — we do not sell them, mine them, or use them to train anything.
You can take your data out at any time while your account is active:
- Your enquiries as a spreadsheet — the export button on the list screen, with whatever filters you have applied.
- One person's complete record as a file — from that record's own screen, for a data subject request.
- The whole workspace — ask us and we will prepare it. This one is run by us rather than being self-service.
If you are closing the account, take the export first. Your retention settings keep running on a dormant workspace, so waiting costs you data.
10. What you are responsible for
For the people whose details you store here, you are the Data Fiduciary and we are your processor.
That is not a formality. Under the Digital Personal Data Protection Act, 2023, the obligations to those people — having a lawful basis, giving notice, answering their requests, not collecting more than you need — are yours, not ours. We give you the tools: a consent register with lawful basis and signature, per-record export and erasure, configurable retention, and an audit trail. Using them is your decision.
You are also responsible for the accuracy of what you put in, for having the right to hold it, and for complying with the rules of any channel you connect — Meta's platform terms, WhatsApp Business policy, and the law on unsolicited marketing calls and messages, which is stricter than most people assume.
11. Acceptable use
You agree not to use OnlyCRM to:
- break the law, or help somebody else to;
- send unsolicited marketing to people who have not agreed to receive it, or who have told you to stop;
- store data you have no lawful basis to hold, or that you obtained by deception;
- attempt to reach another customer's workspace, probe the service for weaknesses without our written agreement, or work around its access controls;
- resell or white-label the service without our agreement;
- overload the service deliberately, or use it in a way that degrades it for others.
We apply technical limits — file sizes, upload counts, request rates — to keep the service usable for everybody. They are not a judgement about you.
12. Third-party services
Connecting Meta lead ads, WhatsApp Business, Telegram or a payment gateway means your use of those services is governed by their terms as well as ours. We do not control them. If one of them changes its rules, its pricing, or its availability — or withdraws your access — that is between you and them, and we cannot be liable for it.
What we will do is tell you plainly when a channel stops delivering, and keep the record of what arrived before it did.
13. Availability, and the absence of an SLA
We do not offer a service level agreement. There is no uptime percentage, no guaranteed response time, and no downtime credit.
We could write "99.9%" here. Most products do. We have chosen not to, because it is the easiest sentence on this page to write and the hardest to stand behind at three in the morning, and because a promise made in a document nobody can enforce is worth less than an honest statement of what to expect.
What we actually undertake: to run the service with reasonable care and skill, to keep backups, to schedule maintenance at quiet hours where we have the choice, and to tell you when something is wrong rather than letting you find out. If your organisation needs a contractual availability commitment, talk to us about a separate agreement — that is a real conversation, not a brush-off.
14. Support
Support is included in every plan, through the support desk inside the product. The desk stays reachable even when a workspace is locked for non-payment, deliberately.
We answer as promptly as we reasonably can. We do not commit to a response time — see section 13 for why we would rather not print a number we might miss.
15. When we may suspend or close an account
We may suspend a workspace where:
- an invoice is unpaid past its term, as set out in section 6;
- we reasonably believe it is being used unlawfully or in breach of section 11;
- it is being used in a way that endangers the service or other customers' data;
- we are required to by law or by a valid order.
Except where the law forbids it or the risk is immediate, we will tell you first and give you a chance to put it right. A suspended workspace can still reach its invoices and the support desk, because the case where a suspension was a mistake is the case where cutting off contact is worst.
Suspension and closure do not delete anything. An account can be reopened in the state it was in. Erasure is a separate, explicit request — and your configured retention rules keep running throughout, so do not treat a dormant workspace as an archive.
You may stop using the service at any time, for any reason, with no notice.
16. Intellectual property
The software, its interface, its documentation and the OnlyCRM name and mark remain ours. Nothing in these terms transfers them. Your data, as section 9 says, remains yours.
If you send us feedback or a suggestion, we may act on it without owing you anything for it. We mention this only so that sending us a good idea is never complicated.
17. Liability
The service is provided as it is. To the extent the law allows, we exclude implied warranties of merchantability and fitness for a particular purpose.
Neither side is liable to the other for indirect or consequential loss, loss of profit, loss of business, or loss of anticipated savings. Our total liability to you, for all claims taken together in any twelve-month period, is limited to the fees you paid us in that period.
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that the law does not permit to be limited. Nothing here affects the rights of a consumer under Indian consumer protection law, where those apply.
Keep your own backups of anything you cannot afford to lose. We keep backups and take care of your data, and we still think you should — that advice is worth more to you than a clause.
18. Changes to these terms
We may update these terms. The date at the top changes when we do. Where a change materially affects your rights or what you pay, we will email the workspace's owners before it takes effect, and a change to pricing never applies to a term you have already paid for.
If you do not accept a change, your remedy is to stop using the service before it takes effect, as described in section 8.
19. Governing law
These terms are governed by the laws of India. The courts at Lucknow, Uttar Pradesh have exclusive jurisdiction over any dispute arising from them.
Before either of us goes near a court, we should try to settle it between us. Write to the address in section 20 setting out the problem and what you would like done, and we will reply.
